Terms of Service

These Terms govern your use of the Simmer attribution platform (“Service”) operated by Mainthread Holding B.V. (“Simmer”, “we”), a private limited company incorporated in the Netherlands (KVK 97090581), with registered office at Scheveningseweg 106-30, 2584 AD Den Haag.

1. Acceptance

By creating an account or installing the Simmer app on Shopify or HubSpot, you (“Merchant”, “you”) agree to these Terms. If you're agreeing on behalf of a company, you represent that you have authority to do so.

2. Service description

Simmer provides multi-touch marketing attribution. You connect your marketing and commerce platforms, and we calculate which channels contributed to your conversions.

3. Your account

• You're responsible for maintaining the confidentiality of your credentials.
• You must be 18 or older and authorized to bind your organization.
• You agree to provide accurate information.

4. Acceptable use

You will not:

• Reverse engineer, decompile, or attempt to extract source code
• Resell or redistribute the Service without written permission
• Use the Service to process data you don't have lawful rights to process
• Circumvent rate limits or security measures
• Use the Service for illegal activity

5. Your data

• You retain ownership of all data you provide or generate through the Service (“Customer Data”).
• You grant us a license to process Customer Data solely to provide the Service.
• You are responsible for obtaining any consent required from your website visitors and customers for data processing.

6. Consent and compliance

You represent that you have obtained all necessary consents and legal bases to share visitor and customer data with Simmer. You are the data controller for your customers' personal data; Simmer is a data processor acting on your documented instructions.

7. Sub-processors

We engage sub-processors listed in our Privacy Policy. You consent to this engagement. We'll notify you of material changes to our sub-processor list.

8. Fees and payment

9. Intellectual property

The Service, including all software, UI, documentation, and improvements, is owned by Simmer. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service.

10. Third-party integrations

You may connect third-party platforms (Shopify, HubSpot, etc.) to the Service. Your use of those platforms is governed by their own terms. Simmer is not responsible for the availability or behavior of third-party platforms.

11. Warranties and disclaimers

The Service is provided “AS IS” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that attribution calculations are complete or error-free; marketing attribution is inherently probabilistic.

12. Limitation of liability

To the maximum extent permitted by law, Simmer's total liability for any claim arising from the Service shall not exceed the greater of (a) fees paid by you in the 12 months preceding the claim, or (b) €100. We are not liable for indirect, consequential, or lost-profit damages.

13. Termination

• You may terminate at any time by uninstalling the app and deleting your account.
• We may terminate for material breach with 30 days' notice, or immediately for security or legal reasons.
• On termination, we will delete Customer Data within 30 days unless retention is legally required.

14. Changes to the Service

We may modify the Service at any time. We will notify merchants of material changes that reduce functionality.

15. Governing law and disputes

These Terms are governed by the laws of the Netherlands. Any disputes arising out of or in connection with these Terms will be submitted to the exclusive jurisdiction of the competent court in The Hague (Rechtbank Den Haag), without prejudice to your mandatory rights as a consumer under applicable law.

16. Changes to these Terms

We may update these Terms. Material changes will be notified via email at least 30 days before taking effect. Continued use of the Service after the effective date constitutes acceptance.
